These terms govern your use of the Search Savvy website and any SEO, social media, PPC, web design, performance marketing, or content marketing services you engage us for. Please read them carefully.

1. Acceptance of Terms

These Terms & Conditions ("Terms") form a legally binding agreement between you and Search Savvy ("Search Savvy," "we," "us," or "our"), a digital marketing agency based in Mumbai, India, governing your access to and use of searchsavvy.in (the "Website") and any SEO, social media marketing, website design & development, PPC and Google Ads, performance marketing, or content marketing services we provide (collectively, the "Services").

By accessing our Website, submitting an inquiry, signing a proposal, or otherwise engaging us for Services, you agree to be bound by these Terms. If you do not agree, please do not use our Website or Services. Where you engage us on behalf of a company, you confirm you have the authority to bind that company to these Terms.

2. Eligibility

Our Website and Services are intended for businesses and individuals aged 18 or older who have the legal capacity to enter into binding contracts. By using our Website or Services, you represent that you meet these requirements.

3. Services Provided

Search Savvy offers the following core service lines, each scoped individually or combined per a signed proposal or statement of work:

  • SEO Services - including technical SEO, on-page and off-page optimization, local SEO, e-commerce SEO, and AI search optimization (GEO/AEO).
  • Social Media Marketing - strategy, content, community management, influencer partnerships, and paid social campaigns.
  • Website Design & Development - design, build, and ongoing maintenance of websites on WordPress, Shopify, or custom stacks.
  • PPC & Google Ads - Search, Shopping, Display, and YouTube campaign management.
  • Performance Marketing - full-funnel paid campaigns across Meta, Google, and programmatic channels.
  • Content Marketing & Writing - blog, website, and long-form content strategy and production.

The specific scope, deliverables, timelines, and fees for any engagement will be set out in a separate proposal, statement of work, or service agreement ("Agreement"), which forms part of these Terms. In the event of a conflict between these Terms and an Agreement, the Agreement will govern for that engagement.

4. Engagement Process & Proposals

Most engagements begin with a free audit or consultation relevant to the Service you're interested in. Any audit, proposal, or estimate we provide is based on the information available to us at the time and is not binding until formalized in a signed Agreement or accepted proposal. We reserve the right to decline any project at our discretion.

5. Client Responsibilities

To deliver our Services effectively, we may require timely access to certain accounts, systems, or information, including but not limited to your website's CMS or hosting, Google Analytics, Google Search Console, Google Ads, Meta Business Suite, and brand assets. You agree to:

  • Provide accurate, complete, and timely information and access needed to perform the Services.
  • Review and approve deliverables (such as content, ad creatives, or design mockups) within a reasonable timeframe.
  • Ensure you have the necessary rights or licenses for any materials, brand assets, or content you provide to us.
  • Comply with the terms of service of any third-party platform (e.g. Google Ads, Meta) used in connection with the Services.

Delays in providing access, approvals, or information may affect project timelines and results, and we are not responsible for delays caused by your failure to meet these responsibilities.

6. Fees & Payment Terms

Fees for Services are set out in your Agreement or proposal and are scoped to your goals, industry, and selected Services. Unless otherwise agreed in writing:

  • Invoices are due within the timeframe stated on the invoice (typically net 7 or net 15 days).
  • Any third-party costs incurred on your behalf, such as ad spend, licensing, or hosting fees, are billed separately or require an ad account with your own payment method, as agreed.
  • Late payments may result in a pause of Services and may accrue interest or late fees as permitted by applicable law.
  • All fees are exclusive of applicable taxes (including GST), which will be added where required.
  • Fees already paid for work performed are generally non-refundable, except as otherwise stated in your Agreement or required by law.

7. No Guarantee of Results

Digital marketing outcomes, including search engine rankings, organic traffic, ad performance, and social media growth, are influenced by factors outside our control, including search engine and platform algorithm changes, market competition, industry trends, and third-party platform policies. While we apply data-backed strategies and industry best practices, we do not guarantee specific rankings, traffic levels, conversion rates, follower counts, or return on ad spend. Any figures shared during proposals, audits, or case studies are illustrative or based on past results and are not a promise of future performance for your business.

8. Intellectual Property

a) Our Pre-Existing IP

All processes, methodologies, templates, tools, and materials developed by Search Savvy prior to or independently of your engagement remain our property.

b) Client Deliverables

Unless otherwise stated in your Agreement, upon full payment, ownership of the final deliverables created specifically for you (such as website code, written content, and design files) transfers to you. We retain the right to showcase completed work in our portfolio, case studies, and marketing materials unless you request otherwise in writing.

c) Client-Provided Materials

You retain ownership of all trademarks, logos, brand assets, and content you provide to us, and you grant us a limited license to use these materials solely for the purpose of delivering the Services.

9. Confidentiality

Both parties agree to keep confidential any non-public business, technical, or financial information disclosed during the engagement, and to use it solely for the purpose of the engagement. This obligation survives the termination of any Agreement for a reasonable period, except where disclosure is required by law.

10. Third-Party Platforms & Tools

Our Services rely on third-party platforms and tools, including but not limited to Google Analytics, Google Search Console, Google Ads, Meta Business Suite, Ahrefs, SEMrush, and various hosting and CMS providers. We are not responsible for outages, policy changes, account suspensions, or data loss caused by these third-party platforms, though we will make reasonable efforts to help resolve issues that arise.

11. Term & Termination

Unless otherwise specified in your Agreement, engagements continue on the agreed term (e.g. monthly retainer or project basis) until terminated by either party. Either party may terminate an ongoing engagement by providing written notice as specified in the Agreement (commonly 30 days for retainer-based Services). Fees for work performed and any committed third-party costs up to the termination date remain payable. Upon termination, we will provide reasonable cooperation to transfer account access and deliverables completed and paid for.

12. Acceptable Use of Our Website

You agree not to use our Website to: violate any applicable law; attempt unauthorized access to our systems or those of other users; introduce viruses, malware, or harmful code; scrape or harvest data without permission; or interfere with the proper functioning of the Website, including our free SEO tools.

13. Disclaimers & Warranties

Our Website and Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our Website will be uninterrupted, error-free, or completely secure.

14. Limitation of Liability

To the fullest extent permitted by applicable law, Search Savvy and its team will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising out of or related to your use of our Website or Services. Our total aggregate liability arising from any claim related to the Services will not exceed the total fees paid by you to us for the specific Service giving rise to the claim in the three (3) months preceding the claim, except where such limitation is not permitted by applicable law.

15. Indemnification

You agree to indemnify and hold Search Savvy harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Services, or your violation of any law or third-party rights, including in connection with materials or brand assets you provide to us.

16. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Services shall first be attempted to be resolved amicably through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.

17. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, business practices, or legal requirements. We will post the revised Terms on this page with an updated "Last updated" date. For active client engagements, material changes affecting your Agreement will be communicated separately. Continued use of our Website or Services after changes take effect constitutes acceptance of the revised Terms.
